Type of work: Student will be involved in matters primarily relating to corporate and securities law, corporate governance matters, and general corporate transactions. Corporate and securities work will include working with the legal team involved in preparation of filings with the SEC including the Annual Report on Form 10-K, proxy statement for the annual shareholders’ meeting, Form 8-K filings, section 16 filings, and other filings with the U.S. Securities and Exchange Commission. Corporate governance work will include assistance with preparation for the and regular review of compliance with SEC and NYSE governance requirements.  General corporate work also includes assistance with compliance by subsidiaries with corporate formalities and matters related to Delta’s investments in other companies.  Student may have possible exposure to other practice areas, including M&A transactions, compliance, finance, commercial contracts, real estate, employee benefits, and litigation.

Note: Vaccines will be mandated. Externship will likely be in-person but some virtual work may be allowed.
